Attached is a further completed draft Board Committees spreadsheet. It needs to bechanged in whatever way you think makes sense, but I tried to make some guessesbased on our conversations, and in a way that aligns with each of the proposed BoardStanding Committees and shares the burden in a fairly equal way. I have also prepared a draft staff report that explains the intent, and alternatives for the Board to consider, also for you to modify as you wish. Once you have made changes, it makes sense to me to share both the draft report and organizational chart with Ric, for further refinement.

I am not sure what we may discuss this afternoon, but the attached updated Board  Committee structure spreadsheet refines my earlier thoughts, for possible discussion. 

 It is conceptual, and is primary intended to provide an approach to meaningful,  coordinated Board assignments, that identifies primary staff to do the leg work as  needed, and which also helps to define limits of authority. 

Whatever is decided as to an approach, the process for proposing and implementing  this or something similar to the entire new Board will need to be considered as well.

Jill & Ric, 

It seems to me that the existing Board committee structure can and should be  streamlined, with each of five members being assigned general oversight of a major  function (with alternate members also assigned so that each would have some  committee role for two functions), but also with one or more designated staff as  functional liaisons. Even at the committee specific level, staff could be identified (where  possible) to be the primary Board liaison. 

The attached reflects a first cut at this concept. As you will see, it continues to show the  only “Ad Hoc” Committee that came to mind, which I think should be shuttered, and  proposes a new Administration Committee, that would more formally be responsible for  agenda preparation and related matters in coordination with the CAO. Specific  committees could be realigned into other functions, and the five identified functions can  be renamed or consolidated differently, in order to achieve functional logic and a  reasonably fair distribution of Board oversight assignments.

Like usual, this is just food for thought, but is consistent with my thinking that to the  extent possible the new Board can and should clarify Board member assignments, but  also make clear that designated staff will be relied on to the extent possible for primary  work responsibilities.
